SIVOA PAY TERMS & CONDITIONS

These Terms and Conditions (“Terms”) govern access to and use of the Sivoa Pay platform (“Sivoa Pay”, “Sivoa”, “we”, “us”, “our”), operated by Sivoa (Pty) Ltd, a company registered in the Republic of South Africa.

By accessing or using Sivoa Pay, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you may not use the platform.

1. DEFINITIONS

  • “Restaurant” / “Merchant”: A business entity using Sivoa Pay to issue digital bills and accept payments.

  • “Customer”: An end user paying a bill generated by a Restaurant.

  • “Payment Processor”: Yoco Technologies (Pty) Ltd.

  • “Platform”: The Sivoa Pay web application, dashboards, payment tools, and related services.

  • “Funds”: Monies paid by Customers in respect of Restaurant-issued bills.

  • “POPIA”: Protection of Personal Information Act 4 of 2013.

  • “Beta”: A limited, test-phase release of the Platform.

2. SERVICE DESCRIPTION


2.1 Sivoa Pay is a digital payment facilitation platform enabling Restaurants to:

  • Create digital bills

  • Send payment links to Customers via WhatsApp

  • Accept card payments processed by third-party payment processors


2.2 Sivoa is not a bank, escrow service, or financial institution.


2.3 All card payments are processed exclusively by Yoco, a licensed third-party payment processor.
Sivoa does not store, process, or retain card details.


2.4 Sivoa acts as Merchant of Record for transactions processed through the Platform.


2.5 Sivoa does not:

  • Sell food or services

  • Provide POS hardware

  • Control Restaurant operations

  • Manage customer service quality

  • Guarantee payment completion or settlement timing

3. ACCOUNT REGISTRATION & ELIGIBILITY


3.1 Only South African businesses with a valid South African bank account may register.


3.2 Restaurants must provide accurate, complete, and up-to-date information, including:

  • Business details

  • Contact details

  • Bank account information


3.3 You warrant that you are authorised to bind the Restaurant

3.4 Sivoa may suspend or terminate accounts where information is false, misleading, incomplete, or presents operational or compliance risk.

4. PAYMENT FLOW & FUNDS HANDLING


4.1 Customers make payments through Yoco’s secure payment gateway.


4.2 Funds are processed as follows:

  • Customer → Yoco (Sivoa account)

  • Sivoa → Sivoa bank account

  • Sivoa → Restaurant bank account (via EFT)


4.3 Funds displayed on the Platform are informational only and do not constitute:

  • Funds held in trust

  • Segregated accounts

  • Guaranteed payouts


4.4 Payouts are processed manually, typically on a weekly basis, subject to:

  • Third-party processor performance

  • Banking systems

  • Compliance, fraud, or dispute reviews


4.5 Payouts are not guaranteed and may be delayed, withheld, or suspended at Sivoa’s discretion.


4.6 Restaurants receive net amounts only, after applicable processing fees.

5. PRICING & SUBSCRIPTIONS


5.1 Standard pricing:

  • R249 per month per Restaurant (subscription)

  • Subscription fees may be waived during beta


5.2 Sivoa reserves the right to:

  • Modify pricing

  • Introduce new fees

  • End beta pricing at any time


5.3 All fees are non-refundable.

6. REFUNDS, DISPUTES & CHARGEBACKS


6.1 Restaurants are solely responsible for:

  • Customer refunds

  • Billing errors

  • Service-related disputes


6.2 Sivoa does not issue refunds under any circumstances.


6.3 Chargebacks:

  • Are managed by the Payment Processor

  • Remain the responsibility of the Restaurant

  • May result in deductions from balances or withheld payouts


6.4 Sivoa may suspend payouts while disputes or chargebacks are under review.

7. USER OBLIGATIONS


Restaurants agree to:

  • Use the Platform lawfully

  • Provide bills only for legitimate transactions

  • Obtain consent before sharing customer contact details

  • Comply with all applicable laws


Customers agree to:

  • Pay valid bills only

  • Resolve disputes directly with the Restaurant

8. BETA USE & PLATFORM AVAILABILITY


8.1 The Platform may operate in beta mode.


8.2 Beta services are provided “as-is” and “as-available”, with no warranties.


8.3 Sivoa does not guarantee:

  • Uptime

  • Performance

  • Error-free operation

  • Feature permanence


8.4 Features may be modified, suspended, or removed without notice.

9. INTELLECTUAL PROPERTY


9.1 All intellectual property relating to the Platform belongs exclusively to Sivoa.


9.2 Restaurants are granted a limited, non-transferable, revocable licence to use the Platform.


9.3 No rights are transferred or assigned.

10. TERMINATION


10.1 Sivoa may suspend or terminate access immediately:

  • For breach of these Terms

  • Where fraud or misuse is suspected

  • To mitigate operational, legal, or reputational risk


10.2 Upon termination:

  • Payouts may be delayed pending review

  • Records may be retained for legal and compliance purposes

11. LIMITATION OF LIABILITY


To the fullest extent permitted by law:

11.1 Sivoa shall not be liable for:

  • Payment delays

  • Lost profits

  • Business interruption

  • Data loss

  • Indirect or consequential damages


11.2 Total liability shall not exceed subscription fees paid in the preceding three (3) months.

12. REGULATORY POSITION


12.1 Sivoa:

  • Is not a registered payment service provider

  • Operates through licensed third-party processors

  • Does not provide credit or lending services

  • Is not governed by the National Credit Act (NCA)

13. GOVERNING LAW


These Terms are governed by the laws of the Republic of South Africa.
